Teck And Anglo American Set 11-Day Closing Timeline And Revise Special Dividend Terms For Merger

Teck Resources Limited has established an eleven-trading-day window between the fulfillment or waiver of remaining non-effective date conditions and the completion of its proposed merger of equals with Anglo American plc. Under the updated arrangement, the merger will reach its effective time at 10:00 p.m. Vancouver time on the eleventh trading day following the clearance of those remaining conditions precedent.
The two companies originally announced the proposed merger of equals on September 9, 2025, with the strategic objective of combining their operations and forming a new global entity named Anglo Teck. Progress toward that combination advanced further when Teck and Anglo American received formal regulatory approval from the Government of Canada under the Investment Canada Act on December 15, 2025.
Alongside the finalisation of the closing mechanics, Teck and Anglo American have revised the payment terms for the special dividend required as a condition precedent under the transaction. Under the original arrangement agreement, Anglo American was required to declare and pay a special dividend on its ordinary shares in the amount of approximately US$4.5 billion within 30 days of the effective date of the merger. The parties have now agreed to modify those terms, extending the payment window so that the Anglo Special Dividend is to be paid within 45 days of the effective date instead.
The completion of the merger remains conditional upon the satisfaction or waiver of the remaining conditions set out in the original arrangement agreement dated September 9, 2025, and the subsequent meeting circular distributed on November 3, 2025. Once those conditions are cleared and the eleven-trading-day countdown concludes, the merger will formally take effect at the designated evening hour in Vancouver.
