Thesis Gold & Silver Closes C$58.5M Offering As AngloGold Ashanti Lifts Stake to 9.7%

Thesis Gold & Silver Inc. has completed its private placement offering for aggregate gross proceeds of C$58,462,111, lifting AngloGold Ashanti plc’s strategic stake in the company from approximately 5% to 9.7% of the issued and outstanding common shares.

The financing package delivered C$28,462,112 through the issuance of 8,342,257 common shares priced at C$3.4118 each. An additional C$10,000,000 was raised via 2,020,202 British Columbia flow-through shares priced at C$4.95 on a charity flow-through basis, while 4,282,655 national flow-through shares priced at C$4.67 generated C$19,999,999 under similar terms. No finder’s fees or commissions were paid on the transaction, and all common shares issued are subject to a statutory hold period expiring four months and one day from closing.

Thesis Gold & Silver holds a 100% interest in the Lawyers-Ranch Gold-Silver Project, situated in British Columbia's Toodoggone Mining District. The asset hosts a large gold-equivalent mineral resource with meaningful exposure to silver. The company is actively advancing the project through ongoing feasibility studies, permitting processes, and exploration programs designed to unlock long-term value.

Gross proceeds raised from the charity flow-through shares will be directed toward eligible Canadian exploration expenses related to the project. Thesis Gold & Silver is required to incur these qualifying expenditures in an aggregate amount not less than the flow-through proceeds on or before December 31, 2027. These expenditures will then be renounced in favour of subscribers effective on or before November 30, 2026, and December 31, 2026, as applicable.

Meanwhile, proceeds from the hard-dollar common share placement will support general corporate requirements and working capital, including technical studies currently underway across the deposit.

Upon closing of the offering, Thesis Gold & Silver and AngloGold Ashanti entered into an amended and restated investor rights agreement. This new agreement supersedes the previous version dated February 26, 2026, and provides AngloGold Ashanti with certain additional investor rights customary for a strategic investment of this nature upon the satisfaction of specific conditions.
