TNR Gold Insiders And Altius Expand Stakes As September Meeting Approaches

TNR Gold Corp. executive management and strategic partner Altius Minerals Corporation have lifted their equity holdings in the company through recent share acquisitions, while the board reviews a notice for alternative director nominations ahead of next month's shareholder meeting.
Executive Chairman Kirill Klip added 4,200,000 shares to his holdings this year, bringing his total stake to 31,363,000 shares. The company's audit committee chair, chief financial officer, and vice president of corporate development also expanded their ownership positions.

Altius Minerals Corporation acquired 7,435,000 shares of TNR Gold at CAN$0.23 per share on July 17, 2026, increasing its non-controlling stake to 30,935,000 common shares. This followed an earlier strategic private placement completed in May 2026 where TNR Gold issued 23,500,000 common shares to Altius Resources for gross proceeds of $4,171,250, with funds allocated to corporate development, property maintenance, and exploration at the Shotgun Gold Project in Alaska.
TNR Gold acknowledged receiving a notice from a shareholder intending to nominate four individuals for election to the board at the upcoming Annual General and Special Meeting of Shareholders scheduled for September 22, 2026, with an August 13 record date for voting. The board and its advisors are reviewing the notice under the company's advance notice policy to determine compliance and validity. Kingsdale Advisors acts as strategic shareholder advisor, and Norton Rose Fulbright Canada LLP serves as legal counsel.
Beyond its Alaskan gold holdings, TNR Gold maintains a portfolio of royalty interests across South America, including a 1.5% net smelter returns royalty on Ganfeng Lithium's Mariana Lithium Project in Argentina and a 0.4% net smelter returns royalty on the Los Azules Copper Project developed by McEwen Inc.
