TNR Gold Reschedules Annual Meeting Amid Voting Probe

TNR Gold Corp. has cancelled its annual general and special meeting of shareholders originally scheduled for September 22, 2026, citing serious concerns regarding the integrity of the voting process.
The board of directors determined that the cancellation is necessary to protect shareholders after an ongoing investigation uncovered suspected coordinated share acquisitions and voting by Eucalyptus Resources Opportunities Fund 1, LP and related participants acting in concert. TNR Gold raised these concerns with securities regulators, stating that proxy solicitation materials delivered by Eucalyptus may fail to comply with legal requirements. The company believes shareholders may have been deprived of material information and potential take-over bid rights under applicable securities laws.
The company previously scheduled the meeting for September 22, 2026, but will now reschedule it to a date to be announced as soon as reasonably practicable. TNR Gold previously obtained approval under the Business Corporations Act to hold the gathering by December 24, 2026, and intends to complete the meeting before that deadline while providing ample notice to investors once the new date is confirmed.
