Torrent Gold Targets $360,000 in Private Placement Financing

Torrent Gold Inc. intends to raise up to $360,000 through a non-brokered private placement offering of up to 2,400,000 units priced at $0.15 per unit. The company retains the discretion to increase the size of the offering, and the financing is not subject to any minimum subscription amount.
Each unit issued in the placement consists of one common share and one common share purchase warrant. Each warrant entitles the holder to acquire one additional common share at a price of $0.20 for a period of 24 months following the closing date of the offering.
Torrent Gold expects to direct the net proceeds from the financing primarily toward general working capital purposes. Any securities issued under the placement will be subject to a statutory hold period of four months and one day from the closing date in accordance with applicable Canadian securities laws and any relevant foreign regulations.
The current financing follows earlier capital-raising initiatives undertaken by Torrent Gold. The company previously closed a private placement in March 2026 that raised $480,000, which was used to settle accounts payable and preserve cash for working capital.
To improve its capital structure and make the company more attractive to prospective financing opportunities, Torrent Gold completed a 1-for-10 share consolidation in June 2025.
Leadership changes preceded the current financing round. Saf Dhillon was appointed President and Chief Executive Officer of Torrent Gold on April 24, 2026, succeeding Richard Cindric in the role.
