Trans Canada Gold Corp. proposes to raise gross proceeds of up to $1.5 million through a non-brokered private placement financing to fund Phase 2 exploration drilling at the Harrison Lake Gold Project in southwestern British Columbia.

The proposed financing is structured in two parts. The company is offering up to 3,947,368 flow-through units at a subscription price of $0.19 per unit to raise up to $750,000, alongside up to 4,411,764 non-flow-through units at $0.17 per unit to raise an additional $750,000. Each unit in both offerings includes one-half of a share purchase warrant, with each whole warrant exercisable into a non-flow-through common share at $0.30 per share for two years from issuance. The financing is also subject to a 15% over-allotment option allowing for an additional $225,000 in gross proceeds.

Trans Canada plans to allocate the net proceeds toward a $1.5 million budget covering underground and surface drilling and general working capital. The Phase 2 program includes a minimum of 2,500 meters of underground drilling budgeted at $375,000 and 1,500 meters of surface drilling across 15 holes budgeted at $225,000, alongside supervision, geological modelling, assaying, and compliance costs.

Closing of the financing is expected by mid-October 2026, pending approval from the TSX Venture Exchange. All securities issued under the offering will be subject to a four-month hold period from the date of issue. The company acquired its initial interest in the Harrison Lake Gold Project through a five-year option agreement entered into on February 4, 2026, with Bear Mountain Gold Mines to acquire a 60% interest.
