Triple One Metals Secures $800k Financing

Triple One Metals Inc. has announced a private placement financing to raise gross proceeds of $800,000.01 through the issuance of 26,666,667 units at a price of $0.03 per unit.

Each unit in the offering comprises one common share and one share purchase warrant. The warrants entitle the holder to acquire an additional common share of the company at an exercise price of $0.05 for a period of two years from the date of issue.

The closing of the financing is conditional upon the receipt of all necessary regulatory approvals, including the formal acceptance of the Canadian Securities Exchange. Under the terms of the offering, a 10% cash finder's fee is payable, subject to regulatory clearance. All securities issued under the placement will be subject to a statutory hold period ending four months and one day post-issuance in accordance with applicable securities laws.

Triple One intends to deploy the net proceeds from the financing toward mineral exploration, regulatory fees, audit costs, legal fees, and general working capital requirements. The board retains discretion to reallocate funds for sound business reasons if circumstances require.

The financing supports the company's ongoing activities, including upcoming exploration work at its 100%-owned Caledonia Brook gold and copper-gold property in central Newfoundland, where the company recently initiated an expanded technical review and target-ranking program.

Activity across the wider district continues to draw technical interest, with Vinland Lithium Inc. having announced exploration plans for its Killick Lithium Project within the surrounding district.
