Triple One Metals Secures Oversubscribed $999k Placement

Triple One Metals Inc. has raised gross proceeds of $999,925.11 in an oversubscribed private placement, issuing 33,330,837 units at a price of $0.03 per unit.

Each unit consists of one common share and one share purchase warrant, with each warrant exercisable for an additional common share at $0.05 for a period of two years from the date of issue.

Proceeds from the financing will be directed toward mineral exploration, regulatory fees, audit costs, legal fees, and general working capital, subject to the board's discretion to reallocate funds for sound business reasons. The company has agreed to pay a 10% cash finder's fee totaling $46,357.50.

An insider subscribed for 4,245,000 units in the offering, constituting a related party transaction under Multilateral Instrument 61-101. The participation is exempt from formal valuation and minority shareholder approval requirements as neither the fair market value of the shares nor the consideration paid exceeds 25% of the company's market capitalization. Triple One did not file a material change report 21 days prior to closing because the specific details of the insider's participation were unknown at that time.

Closing of the financing is subject to receipt of all necessary regulatory approvals, including acceptance from the Canadian Securities Exchange. Securities issued under the placement will be subject to a four-month-and-one-day statutory hold period.

Alongside its financing activities, Triple One is advancing its 100%-owned Caledonia Brook gold and copper-gold property in central Newfoundland toward defined exploration targets through follow-up prospecting, geophysics, and potential diamond drilling.
