U92 Energy Closes $8.05M Public Offering to Advance Kurupung Uranium Project
U92 Energy Corp. has closed its brokered public offering, raising gross proceeds of $8,050,000 to advance its uranium assets in Guyana and cover deferred project payments.
The offering delivered 20,125,000 units at a price of $0.40 per unit, reflecting the full exercise of a 2,625,000-unit over-allotment option granted to the agents. Each unit comprises one common share and one-half of a common share purchase warrant, with each whole warrant exercisable at $0.65 until August 12, 2030.
Net proceeds from the financing will support exploration at the flagship Kurupung uranium project in Guyana, settle deferred cash consideration for the Guyana projects, and fund general working capital. At Kurupung, U92 Energy is preparing to mobilize an Orbit Garant diamond drill rig to site to commence its phase one inaugural 5,000-metre drill program targeting high-priority, previously untested areas. Uranium traded at $86.90 per pound, up 1.34% over the 30-day period ended August 12, 2026.
Co-lead agents Haywood Securities and Jett Capital Advisors, alongside Ventum Financial, received a cash commission of $429,720 and 1,074,300 broker warrants exercisable at $0.40 until August 12, 2028. The offering remains subject to final approval by the TSX Venture Exchange.
Additionally, U92 Energy expects to close an upsized non-brokered private placement of up to 3,750,000 units at $0.40 per unit for gross proceeds of up to $1,500,000 on or about August 19, 2026, subject to exchange approval.
