U92 Energy Upsizes Public Offering and Private Placement to Fund Guyana Uranium Project

U92 Energy Corp. has filed a final short form prospectus in Canada to qualify a public offering of units designed to raise between $4 million and $7 million in gross proceeds, alongside an upsized non-brokered private placement targeting up to $1.5 million.

The public offering covers a minimum of 10,000,000 units and a maximum of 17,500,000 units at $0.40 per unit, which represents an increase from the minimum of 9,000,000 units contemplated in the company’s July 23 filing. In addition, U92 has expanded its companion non-brokered private placement from 2,500,000 units to up to 3,750,000 units at the same $0.40 price.

Each unit across both offerings consists of one common share and one-half of one common share purchase warrant. Each whole warrant carries an exercise price of $0.65 per share and remains valid for 48 months from issuance.

The combined funding will supply net proceeds to advance the company’s Kurupung uranium project in Guyana, settle deferred cash consideration linked to its Guyana assets, and support general working capital.

Under the agency agreement, lead agents Haywood Securities and Jett Capital Advisors, alongside Ventum Financial, will receive a 6% cash commission and broker warrants equal to 6% of the units sold in the public offering, subject to a reduced 2% rate for president's list purchasers. Similar fee arrangements apply to eligible finders under the private placement.

The financing is subject to customary regulatory conditions, including final approval from the TSX Venture Exchange, with closing expected on or about August 12, 2026.

The funding follows active corporate development at the 92-square-kilometre project, where U92 acquired a complete historical technical dataset spanning more than a decade of exploration in June 2026. That acquisition complemented an earlier agreement with Orbit Garant Drilling to execute an inaugural 5,000-metre diamond drill program across the property's mineralised zones.
