Ucore Closes C$69 Million Bought Deal Financing for Louisiana Rare Earth Facility
Ucore Rare Metals Inc. has completed its previously announced bought deal public offering, raising aggregate gross proceeds of C$69,004,600 following the full exercise of an over-allotment option.
The financing provides funding to advance development at the company's Louisiana Strategic Metals Complex, alongside working capital and general corporate purposes. The offering remains subject to final approval from the TSX Venture Exchange.
Under the terms of the offering, Ucore issued 24,644,500 common shares at a price of C$2.80 per share. This total includes 3,214,500 common shares sold through the full exercise of the underwriters' over-allotment option, which generated an additional C$9,000,600 in gross proceeds. Red Cloud Securities acted as sole bookrunner and co-lead underwriter, with B. Riley Securities serving as co-lead underwriter.
The syndicate of underwriters received an aggregate cash fee of C$4,125,276.04, equating to 6% of gross proceeds, with a reduced fee of 3% applied to purchases under a President's List.
The current August 2026 closing represents a significantly larger raise at a higher issue price of C$2.80 per share compared with Ucore's previously completed C$15.5 million brokered offering in June 2025 at an issue price of C$1.20 per share.
