Vault Strategic Mining Amends Private Placement Terms To Secure Up To $1.5M In Gross Proceeds

Vault Strategic Mining Corp. has revised the terms of its upcoming non-brokered financing to offer up to 12,000,000 units at an increased subscription price of $0.125 per unit, lifting aggregate gross proceeds to as much as $1.5 million. The conditional financing remains subject to the formal approval of the TSX Venture Exchange, and all securities issued will carry a statutory hold period of four months and one day from the date of issuance.
Each unit under the amended placement comprises one common share and one transferable common share purchase warrant. The attached warrants allow holders to acquire an additional common share at an exercise price of $0.20 over a 12-month period from issuance.
An acceleration clause applies to the warrants, allowing Vault Strategic Mining to shorten the expiry date to 30 days upon providing notice if the volume-weighted average trading price of the common shares on the exchange reaches or exceeds $0.30 per share for five consecutive trading days following the initial four-month statutory hold period. Furthermore, the warrants include a restriction preventing exercise if the transaction would result in the holder, alongside any parties acting in concert, owning 10 percent or more of the company's issued and outstanding common shares immediately afterward.
The company may pay finder's fees in connection with the private placement in accordance with exchange policies. Any participation by insiders in the offering constitutes a related-party transaction under applicable securities regulations, though the company intends to rely on available exemptions from formal valuation and minority shareholder approval requirements based on market capitalization thresholds.
Net proceeds from the financing are allocated toward funding ongoing exploration activities at the War Bond Project, building upon earlier Phase 1 sampling and high-resolution geophysical surveys. Vault acquired a 100% interest in the project in May 2026, which encompasses the historical War Bond, Tactite, and Thursday tungsten mines.
The exploration work forms part of the technical foundation for a maiden National Instrument 43-101 technical report currently being prepared for the property. Vault Strategic Mining shares are currently trading at $0.21, up 27.27%.
