Vault Strategic Mining Secures $1.25M Private Placement for Exploration

Vault Strategic Mining Corp. has arranged a non-brokered private placement to raise gross proceeds of up to $1,250,000 through the issuance of up to 12,500,000 units priced at $0.10 each.

The financing remains subject to final approval from the TSX Venture Exchange. Each unit consists of one common share and one transferable common share purchase warrant. Each warrant allows the holder to acquire an additional common share at an exercise price of $0.15 for a period of twelve months from issuance.

The warrants include an acceleration clause. If the weighted average daily trading price of the shares on the Canadian Securities Exchange or another designated market reaches or exceeds $0.25 for five consecutive trading days after the initial four-month hold period, the company can accelerate the expiry date to 30 days from notice. All securities issued under the offering will carry a statutory hold period of four months and one day.

Vault intends to allocate the net proceeds from the private placement toward exploration activities and general corporate purposes. The company may also pay finders' fees in accordance with exchange policies. Any participation by insiders will constitute a related party transaction under Multilateral Instrument 61-101, with the company relying on exemptions from formal valuation and minority approval requirements.

Funds raised from the financing will support ongoing evaluation across the company's asset base. Vault holds a 100% interest in the War Bond tungsten project in Nevada, alongside the Gray Eagle project in California and the Mount Wheeler project in Nevada.

Work at War Bond has advanced following initial field programs. Since acquiring the project, Vault has completed a Phase 1 sampling program, initiated a drone-borne magnetic survey, and engaged veteran geologist William “Bill” Feyerabend and Amazona Enterprises to prepare a maiden NI 43-101 technical report.
