Vision Lithium Options Red Brook Property to Osisko Metals

Vision Lithium Inc. has granted Osisko Metals Incorporated an exclusive option to acquire a 100% undivided interest in the Red Brook Property in New Brunswick. The property consists of 181 mineral claim units covering approximately 3,982 hectares.
To exercise the option and secure full ownership, Osisko Metals must complete a series of financial obligations, share issuances, and exploration commitments over a three-year period. The agreement requires total cash payments of $400,000, broken into $100,000 due on the effective date and subsequent installments of $100,000 on each of the first three anniversaries.
In addition, Osisko Metals must issue $1,025,000 in common shares to Vision Lithium. This equity component includes 200,000 common shares that must be issued within one month of the September 9, 2026 effective date, followed by $250,000 in common shares on or before each of the first three anniversaries.
The incoming operator is also obligated to fund $600,000 in exploration work expenditures on the Red Brook Property. This spending schedule requires $100,000 in exploration outlays on or before the first anniversary, an additional $200,000 by the second anniversary, and a final $300,000 by the third anniversary.
As part of the transaction mechanics, Osisko Metals must enter into an assignment and assumption agreement to assume an existing 2.0% net smelter returns royalty held by Prospect Or Corp. and 9248-7792 Québec Inc. Half of this royalty may be repurchased for $1,000,000.
Vision Lithium holds additional assets within New Brunswick, including its St. Stephens project.
