Volta Consolidates Springer Land Package With Definitive Acquisition of Three Claims
Volta Metals Ltd. has entered into a definitive agreement to acquire a 100% interest in three contiguous unpatented mining claims immediately east of its Springer rare earth element and gallium deposit near Sturgeon Falls, Ontario, securing a clear path to full ownership of the entire project land block.
The transaction ties together every patent and claim making up the Springer project into a single, wholly owned land block. The newly acquired ground is entirely undrilled and sits along the eastward extension of mineralization that remains open beyond the deposit's current resource base of 56.6 million tonnes indicated at 0.70% Total Rare Earth Oxides and 119.5 million tonnes inferred at 0.58% Total Rare Earth Oxides. In addition, the ground opens a short, direct route into the deposit and the eastern resource-expansion area from Highway 64.
Consideration for the acquisition consists of 600,000 common shares issued to an arm's length vendor and a 2% net smelter return royalty. Volta retains the right to buy back half of the royalty, representing a 1% net smelter return, at any time for a cash payment of $500,000. The consideration shares are subject to a statutory hold period of four months and one day, and completion of the arrangement remains conditional upon customary closing conditions, including approval from the Canadian Securities Exchange.
Volta is advancing its flagship Springer Rare Earth and Gallium Project toward a Preliminary Economic Assessment and plans to conduct exploration on the newly acquired unpatented claims east of the Springer deposit to test for potential resource expansion along strike.
"This acquisition does two critical things. It consolidates full control of the Springer project and opens direct Highway 64 access to both the deposit and the resource-expansion area to the east. We're now positioned to explore entirely undrilled ground along strike without the operational constraints of legacy access routes. It's a strategic move that simplifies execution and materially improves our ability to grow the resource,"
