Volta Metals Secures Full Ownership of Springer Project

Volta Metals Ltd. (VLTA) has finalized a definitive purchase agreement to acquire the remaining 20% interest in the Springer rare earth element and gallium deposit, located near Sturgeon Falls, Ontario. The transaction, signed and closed on July 21, 2026, moves the company to 100% ownership, expanding upon the 80% interest held since an initial option agreement in June 2025. By consolidating the asset, Volta gains full control over future exploration and development outcomes at a site currently ranked among the ten largest rare earth deposits in North America.

The total acquisition cost is $1,000,000 in cash and 10,000,000 common shares. The cash component includes an initial $200,000 payment, with the remaining $800,000 deferred and tied to future non-flow-through equity financings. Any outstanding balance from this deferred sum must be settled by June 14, 2027. Regarding the share issuance, half of the consideration shares are issuable immediately, while the balance is due within seven days of the company’s next equity financing or by June 14, 2027, depending on which milestone occurs first.

The Springer deposit holds a significant resource profile, with an indicated mineral resource estimate of 56.6 million tonnes at 0.70% total rare earth oxides (TREO), including a near-surface high-grade core. Additionally, the project features an inferred resource of 119.5 million tonnes at 0.58% TREO. Praseodymium and neodymium serve as the primary drivers of the project's net metal value, accounting for approximately 90% of the estimated total. The company reports that mineralization remains open for further expansion, and the latest ownership consolidation is intended to ensure that all future resource additions accrue entirely to its shareholders.

Market participants responded positively to the announcement, with the company's stock rising 9.52% on the Canadian Securities Exchange to close at $0.23 in the session following the disclosure. The acquisition structure is designed to preserve the company's working capital by staggering payments alongside anticipated financing activity, while aligning the vendor’s interests with those of existing investors through the equity component of the purchase price.

The agreement includes royalty provisions, with the vendor retaining a 2% net smelter return royalty on mining claims, half of which may be repurchased by the company for $1,000,000. Existing royalties on the patented claims remain in place, with a similar buyback option for a portion of that interest. Volta has confirmed that no finder’s fees were associated with this transaction, as the company prepares to register full title to the property through Ontario’s provincial mineral administration systems.
