Winshear Receives TSXV Approval to Acquire Thunder Bay Project Assessment Credit

Winshear Metals Corp. has received final approval from the TSX Venture Exchange to complete its purchase agreement for mineral exploration credits associated with claim 908950 at the Thunder Bay Project in northwestern Ontario.
Under the terms of the transaction, Winshear will acquire an exploration assessment credit valued at $608,083. In exchange for the credits, the company will issue 1,000,000 common shares and 500,000 share purchase warrants to the vendors. Each warrant allows the holder to purchase one additional common share at a price of $0.20 for a period of three years, ending August 20, 2029. The consideration shares carry a statutory hold period of four months and one day, expiring on December 21, 2026.
The transaction follows a previous purchase agreement announced on June 23, 2026, which initially set out the acquisition of an assessment credit valued at $608,000. The finalized approval secures the formal transfer of the exploration credits into the company's holding for the property.
Winshear originally acquired the 360-square-kilometre Thunder Bay Project through a property option agreement that secured final TSX Venture Exchange approval on July 17, 2025. Following that foundational acquisition, the company advanced exploration efforts by conducting field programs in both 2025 and 2026. These operational campaigns encompassed soil and till sampling over several primary targets within the property boundary, specifically covering the Inflection, El Dorado, MacGregor, and Kingfisher targets.
