XAU Resources Secures C$10M to C$20M Private Placement and Faces Reverse Takeover Review for Quartzstone Acquisition

XAU Resources Inc. has triggered a regulatory review and trading halt after the TSX Venture Exchange determined that its proposed acquisition of QS Holdings Inc. and the Quartzstone Gold Project constitutes a reverse takeover. Previously, the company entered into a definitive business combination agreement to acquire QS Holdings for a deemed aggregate purchase price of C$70 million.

The regulatory review requires XAU Resources to submit technical, financial, legal, and corporate documentation, including audited financial statements, due diligence materials, valuation and fairness-opinion materials, transaction agreements, exchange comment responses, and an updated technical report for the Noseno Project. Management and company advisors are actively completing these submissions. Although the trading halt creates uncertainty, a detailed regulatory review is customary for transactions of this structure, and the company remains focused on satisfying exchange requirements efficiently.

To support the transaction, QS Holdings has engaged ECM Capital Advisors Ltd. as its exclusive financial advisor for a non-brokered private placement of subscription receipts aiming to raise aggregate gross proceeds of C$10 million to C$20 million. This follows a December 2025 private placement where XAU Resources raised gross proceeds of C$1.0 million at C$0.25 per unit. Each subscription receipt is priced at C$700, the equivalent of C$0.50 per XAU share based on the exchange ratio. Subscribers will receive one common share of QS Holdings for no additional consideration upon the release of escrow funds, which will then be exchanged for common shares of XAU.

Completion of this financing is a mandatory condition for closing. Gross proceeds will be held in escrow until release conditions are satisfied, including the listing of shares. Net proceeds will fund regional exploration, property payments, transaction expenses, and general working capital.

While the exchange review proceeds, partner Fortuna Mining Corp. is advancing exploration at Quartzstone under an earn-in agreement supported by a 2026 working budget of approximately US$5.6 million. Fortuna Mining is undertaking its 2026 work program under a joint technical committee, which includes historical data integration, a higher-resolution 100-metre line-spacing fixed-wing geophysical survey, an auger-sampling program of approximately 1,600 samples across a 500-metre by 500-metre grid, and an initial 5,000-metre diamond-drilling program designed to verify historical results, test plunging shoots, and evaluate undrilled targets along the principal shear zone. Fortuna has also expanded camp capacity to support a year-round program and established safety and community-engagement procedures.

As part of its corporate preparations, XAU Resources is finalizing an updated independent NI 43-101 technical report for the Noseno Project, prepared by TKT Geoscience Ltd. with an effective date of July 24, 2026. The technical report concludes that Noseno's geological setting is favourable for orogenic, greenstone-hosted gold mineralization.

The technical report recommends a staged exploration program with an estimated total budget of approximately US$2.4 million. XAU Resources intends to advance this program during the 2026-2027 field season, comprising Phase I target generation and historical data work-up, Phase II trenching of approximately 5,000 metres, and Phase III diamond drilling of approximately 3,000 metres contingent on earlier results. The company has also acquired and reprocessed legacy airborne geophysical data from the Guyana Geology and Mines Commission to assist exploration targeting and is evaluating additional acquisition opportunities in the same gold camp to build a larger land position.
