Golden Cariboo Closes Tranche Three of Private Placement Raising $515,200

Golden Cariboo Resources Ltd. is closing the third tranche of its non-brokered private placement, raising $515,200 through the issuance of 6,440,000 units at a price of $0.08 per unit. This final tranche brings combined gross proceeds across all three tranches to $2,120,000.

Each unit consists of one common share and one share purchase warrant. Warrants are exercisable for a period of five years starting August 20, 2026, with step-up exercise prices set at $0.12 in year one, $0.15 in year two, $0.18 in year three, $0.21 in year four, and $0.25 in year five. Securities issued under the third tranche are subject to a statutory four-month and one-day hold period expiring on December 21, 2026.

Eligible finders will receive a cash commission of $22,544 alongside 281,800 finder warrants for the third tranche, bringing total finder compensation across the entire offering to $73,168 and 914,600 finder warrants. These finder warrants carry the same five-year term and escalating exercise schedule as the subscriber warrants.

Golden Cariboo will allocate the financing proceeds toward general working capital and continued property exploration at the Quesnelle Gold Quartz Mine property in central British Columbia. During the 2025 mineral exploration program at the asset, the company completed 1,729.79 meters of drilling across eight surface diamond drill holes.

The Quesnelle Gold Quartz Mine property is bordered by Osisko Gold Group Inc. and is situated along a 90-kilometer trend where over 101 placer gold creeks have recorded historical production. In the surrounding district, Osisko Gold Group Inc. reported drill results at the Proserpine target in August 2026, intersecting 95.93 g/t gold over 4.60 metres.
